TWO WEEK GROUPS

The annual calendar of weeks starts on the Sunday of any week in which January first falls. Example: The first week group (A) for the year 2007 starts on Sunday, December 31, 2006 at 3:00 pm and ends on Sunday, January 7, 2007 at noon. The last week group (E) for the year 2007 starts on Sunday, December 23, 2007 at 3:00 pm and ends on Sunday, Secember 30, 2007 at noon.

The first week group (A) always has January 1 in the first week and the last week group (E) always has December 25 in it. The last week group (number 26) will have two weeks in it every five to six years. Example years: 2011, 2016, 2022, and 2028 will have two weeks in the last group (E).

1) Memberships are only available for no less than one week—see Calendar.
2) Phase One Development will take eight months to begin operations.
3) Membership fees are stated in U.S. Dollars, which is also the currency of Panama.

• This material is being used for the purpose of soliciting sales of Memberships at Club Marlin Pacifica. This offer is designed for a select clientele, such as a corporation or partnership with assets in excess of $5,000,000, or individuals who have a net worth that exceeds $1,000,000 or an annual income of $200,000 or more, and must own a private residence. On the basis of such factors as financial sophistication, net worth, knowledge, and experience in financial matters, or an amount under management, an individual may be considered as a “qualified/accredited Applicant” under the rules and regulations of the jurisdiction in which the applicant resides. These Memberships should be considered as “restricted” and may only be sold back to Club Marlin Pacifica/P.S.I at market value. Buy back sales shall only be completed when the Club has a Buyer for the Membership being sold. There is no guarantee that any application for registration will be filed or approved, or that the restriction will be removed.
• This offer is neither a solicitation to buy nor an offer to sell a Membership to a resident of any jurisdiction in which registration is required, and is void where prohibited. This offer is in compliance with the laws of the jurisdiction in which the Resort is located.
• Registration or compliance does not constitute an endorsement of the merits or value of the Resort by the jurisdiction in which the Resort is located or offered.
• Memberships are subject to availability, on a first-come first-serve basis, and are limited. Payment in full by wiring or mailing funds is required to confirm a reservation.
• The prices and offer are subject to change without notice. This is a one time offer.
• Transportation, taxes, park entry fees, or incidental expenses are not included.
• Citizens in some jurisdictions are not allowed to purchase club memberships, directly or indirectly without written approval from those jurisdictions and Member must provide said written approval to the Resort Developers and the Escrow Agent.
• Photographs are conceptual in nature only, have been provided by the government of Panama and independent photographers, and have been taken on and around the Pacific Coast and Islands of Panama.
• Plans and elevations are subject to change by government requirements or to improve the quality or desirability of the Resort.
• No sales person will contact you unless requested.
• No information provided by you will be used, traded, or sold by or to any other entity.
• Memberships are only purchased for use and not as an investment and there is no guarantee that there will be any increase in value, tax benefits, or income from Memberships.
• Memberships sold outside of some jurisdictions may not be resold or exchanged in some other jurisdictions.
• No journalist should provide any information in any jurisdiction that requires registration that could be viewed as an intention to induce the purchase of a Club Membership, specifically target citizens abroad, or as a directed selling effort or conditioning of the market to purchase a Membership in said jurisdiction.
